Terms of Service Agreement

Your use of Axios Valuation Solutions's web applications, products, software, services, web sites and accompanying documentation is subject to the terms of a legal agreement between you and Axios Valuation Solutions, LLC whose principal place of business is at 8317 Whitley Rd, Fort Worth TX 76148. This document explains and sets out some of the terms of the agreement.

Axios Valuation Solutions, LLC or its subsidiaries, affiliates, and suppliers (collectively "AXIOS") provide access to a wide array of resources, including without limitation various web based applications and services, branded programming, materials, information, software, products, trademarks and names, logos, domain names, and other distinctive brand features, websites and information portals which may be accessed through many different medium or devices now available or hereafter created (the "Services").

Your use of AXIOS's Services is subject to copyright laws and treaties, as well as laws and treaties related to other forms of intellectual property and to all of the terms and conditions of this Terms of Service Agreement (this "Agreement"). Without first obtaining the express written consent of Axios Valuation Solutions, LLC, you may not assign your rights and obligations under this Agreement. You are solely responsible for any breach of your obligations under the Agreement and for the consequences (including any loss or damage which AXIOS may suffer) of any such breach.

Acceptance

YOU ACCEPT AND AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT BY USING IN FULL OR IN PART ANY AXIOS SERVICE. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT YOU MAY NOT USE THESE SERVICES.

Serivce Provision

You acknowledge and agree that:

  1. AXIOS may immediately stop (permanently or temporarily) allowing you or your users to use the Services without prior notice to you. 
  2. At any time your account may be disabled and you may be prevented from accessing the Services or any account details or any files or other content which is contained in your account. 
  3. While there may not appear to be any limit on the number of transmissions you may send or receive through the use of the Services or on the amount of storage space used in connection with the use f the Services, fixed limits may be set at any limit at any time if not already done so, at AXIOS's sole discretion. 

Use of Services

In order to access certain Services, you may be required to provide information about yourself (such as identification or contact details) as part of the registration process for the use of the Services, or as part of your continued use of the Services.

You agree and understand that;

  1. You are required to keep your profile accurate, correct and up to date. 
  2. You will not access (or attempt to access) any of the Services by any means, including without limitation through any automated means (including use of scripts) other than through the interface that is provided and approved by AXIOS. 
  3. You will not interfere with or disrupt the Services (or the servers and networks which are connected to or make available the Services). 
  4. You will not embed, reproduce, redistribute, duplicate, encumber, copy, sell, rent, trade, lease, sublicense or otherwise transfer use of the Services. You do not own the Services; AXIOS retains all ownership of the Services. 
  5. You will not decompile, "reverse-engineer", disassemble, make modifications to, create derivative works of or otherwise attempt to derive or alter the source code for the Services or any libraries referenced. 
  6. You will not reproduce the database portion or create any tables or reports relating to the database portion or use the database portion of the Services in connection with any software other than the Services. 

Account Security

You will receive an account after completion of the registration process.

You agree and understand that;

  1. You are responsible for maintaining the confidentiality of the passwords and account that are used to access the Services, and are fully responsible to AXIOS for all activities that occur under your password and account. 
  2. If you become aware of any breach of security or unauthorized use of your password or of your account you will notify AXIOS immediately at:

Privacy

For information about protection practices, please read the AXIOS privacy policy here. This policy explains how AXIOS treats your personal information, and protects your privacy, when you use the Services. By using these Services you agree to the use of your data in accordance with AXIOS privacy policies.

Service Content

AXIOS reserves the right (but not the obligation) to pre-screen, review, flag, filter, modify, refuse or remove any or all content from any Service.

You agree that you are solely responsible for any content that you create and submit in connection with the use of the the Services and for the consequences of your actions (including any loss or damage which AXIOS may suffer) by doing so.

You agree that you will not email, upload, transmit or communicate any content that is unlawful, threatening, abusive, harmful, harassing, vulgar, obscene, hateful, racially or ethnically questionable or invades the privacy of others.

Copyright & Proprietary Interests

You acknowledge and agree that AXIOS owns all rights, title, and interest in the Services. You further acknowledge that the Services may contain information which is designated confidential by AXIOS and that you shall not disclose such information without AXIOS's prior written consent. You acknowledge that your use of or access to the Services does not confer to any ownership rights or other proprietary interest therein.

Except as specifically provided herein, there are no terms that give you a right to use any of AXIOS's trade names, trade marks, service marks, logos, domain names, and other distinctive brand features. You agree that you will not modify , delete, or hide or any rights notices including copyright and trade marks contained within the Services.

You will not use any trade mark, service mark, trade name, or logo of any company or organization (including AXIOS) in a way that is intended to cause confusion about the ownership of their works.

License to Use Services

AXIOS gives you a personal, non-assignable and non-exclusive license to use the software provided to you as part of the AXIOS Services (referred to as "Software"). This license is for the sole purpose of enabling you to use the Services during the term of this Agreement and in the manner permitted by this Agreement.

Service Updates

The Software which you use may be updated from time to time by AXIOS without prior notice to you to improve, enhance and further develop the Services and may take the form of bug fixes, enhanced functions, new software modules and completely new versions. You agree to receive such updates as part of your use of the Services.

External Content

The Services may include links to other web sites or content or resources external from AXIOS which AXIOS has no control over.

You acknowledge and agree that AXIOS is not responsible for the availability of any such external sites or resources, and does not endorse any advertising, products or other materials on or available from such web sites or resources.

You acknowledge and agree that AXIOS is not liable for any loss or damage which may be incurred by you as a result of the availability of any external sites or resources, or as a result of any reliance placed by you on them.

Severability

If any provision of this Agreement shall be held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect. To the extent any express or implied restrictions are not permitted by applicable laws, these express or implied restrictions shall remain in force and effect to the maximum extent permitted by such applicable laws.

Mutual Obligations

Each party shall use reasonable efforts to safeguard intellectual property, confidential information and proprietary rights of the other party.

Termination of Agreeement

The terms of the Agreement will continue to apply until terminated by either you or AXIOS as defined below;

  1. If you want to terminate this Agreement with AXIOS, you may do so by notifying AXIOS at any time by calling 817-581-2900 or mailing:

However, your obligations and agreements under the following paragraphs shall survive the termination of this Agreement: "Use of Services", "Service Content", "Copyright & Proprietary Interests", "External Content", and "Disclaimer of Warranties and Limitation of Liability". 

  1. AXIOS may at any time, terminate this Agreement. 

Disclaimer of Warranties and Limitation of Liability:

UNLESS OTHERWISE EXPLICITLY AGREED TO IN WRITING BY AXIOS, AXIOS MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, IN FACT OR IN LAW, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OTHER THAN AS SET FORTH IN THIS AGREEMENT OR IN THE LIMITED WARRANTY DOCUMENTS PROVIDED WITH THE SERVICES.

AXIOS MAKES NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR OPERATE UNDER YOUR SPECIFIC CONDITIONS OF USE. AXIOS MAKES NO WARRANTY THAT OPERATION OF THE SERVICES WILL BE SECURE, ERROR FREE, OR FREE FROM INTERRUPTION.YOU MUST DETERMINE WHETHER THE SERVICES SUFFICIENTLY MEETS YOUR REQUIREMENTS FOR SECURITY AND UNINTERRUPTABILITY. YOU BEAR SOLE RESPONSIBILITY AND ALL LIABILITY FOR ANY LOSS INCURRED DUE TO FAILURE OF THE SERVICES TO MEET YOUR REQUIREMENTS. AXIOS WILL NOT, UNDER ANY CIRCUMSTANCES, BE RESPONSIBLE OR LIABLE FOR THE LOSS OF DATA ON ANY COMPUTER OR INFORMATION STORAGE DEVICE.

UNDER NO CIRCUMSTANCES SHALL AXIOS, ITS DIRECTORS, OFFICERS, EMPLOYEES OR AGENTS BE LIABLE TO YOU OR ANY OTHER PARTY FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND (INCLUDING LOST REVENUES OR PROFITS OR LOSS OF BUSINESS) RESULTING FROM THIS AGREEMENT, OR FROM THE FURNISHING, PERFORMANCE, INSTALLATION, OR USE OF THE SERVICES, WHETHER DUE TO A BREACH OF CONTRACT, BREACH OF WARRANTY, OR THE NEGLIGENCE OF AXIOS OR ANY OTHER PARTY, EVEN IF AXIOS IS ADVISED BEFOREHAND OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT THAT THE APPLICABLE JURISDICTION LIMITS AXIOS'S ABILITY TO DISCLAIM ANY IMPLIED WARRANTIES, THIS DISCLAIMER SHALL BE EFFECTIVE TO THE MAXIMUM EXTENT PERMITTED.

Changes to the Terms

AXIOS may change the terms of this Agreement from time to time. When these changes occur, AXIOS will update this page.

You understand and agree that if you use the Services after the date on which the Agreement has changed, AXIOS will treat your use as acceptance of the updated Agreement.
